Trilegal acted as legal counsel to Valeo S.E. in relation to the establishment of a 50:50 joint venture between Tata AutoComp Systems Limited and Ichikoh Industries (61.2% held by Valeo S.E.) for the acquisition of the Valeo Lighting System (VLS) business in India from Valeo India Private Limited (subject to applicable regulatory approvals).
Trilegal’s scope of work included reviewing the joint venture agreement (JVA), providing advisory support to Valeo S.E. during the negotiation of the JVA, and assisting with the ongoing sale of the VLS business in India to the newly formed joint venture.
Trilegal is drafting the business transfer agreement and other transaction documents required for the transfer of the VLS business in India to the newly incorporated joint venture company. Additionally, the firm is undertaking the merger control assessment for the complete transaction.
