Trilegal advised global education company Emeritus (part of Eruditus) on its strategic joint ventures with Illinois Institute of Technology, University of Aberdeen, University of New South Wales (UNSW) and University of Victoria for the establishment of physical campuses in India.
These collaborations mark a significant milestone in India’s higher education landscape and are among the earliest partnerships structured under the evolving regulatory framework permitting foreign universities to establish campuses in India. The initiatives reflect the policy shift enabled by the National Education Policy (NEP) 2020 and the University Grants Commission’s 2023 framework, which allow leading global universities to set up and operate academic institutions within the country.
Under these partnerships, Emeritus will work closely with the foreign universities to enable its successful establishment and growth through expertise across key non-academic functions only. The campuses are expected to offer internationally recognised degree programmes by respective universities, aligned with each university’s curriculum frameworks, academic oversight, and global academic standards.
Trilegal acted as legal counsel to Emeritus, providing comprehensive legal advisory support throughout the transactions, from inception through execution and closing. The responsibilities included structuring and negotiating transaction documentation, while providing strategic guidance on governance architecture, operational frameworks, and compliance considerations.
This assignment reflects Trilegal’s continued involvement in complex, policy-driven transactions at the intersection of education, technology, and cross-border investment. The firm’s multidisciplinary approach enabled the delivery of commercially grounded and execution-focused legal solutions aligned with the regulatory environment governing foreign higher education institutions in India.
The transaction was led by Trilegal’s Corporate M&A Partners: Pratyush Singh and Vishruta Kaul, supported by Senior Associates: Shaurya Jain, Advaye Sawhny and Neha Koppu and Associates: Riya Thawani and Mukund Agarwal.
Trilegal’s Technology, Media, and Telecommunications Team advised on data privacy and technology aspects, led by Partner: Jaideep Reddy and supported by Senior Associate: Akshaya Parthasarathy.
Trilegal’s Employment team advised on employment law aspects, led by Partner: Apeksha Mattoo and supported by Associate: Achintya Anupam
